Introduction
These Terms and Conditions (‘Terms’) govern your use of the SkyraSoft website (skyrasoft.com) and the engagement of SkyraSoft’s services. SkyraSoft is a digital agency registered and operating from Peshawar, Khyber Pakhtunkhwa, Pakistan, providing web development, digital marketing, design, and business software services.
By accessing this website or by engaging SkyraSoft for any service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use this website or engage our services. These Terms should be read in conjunction with our Privacy Policy.
Services
SkyraSoft provides digital services including but not limited to: WordPress development, Shopify development, search engine optimisation (SEO), social media marketing and management, web application development, ERP and CRM system implementation, graphic design, and video editing and production.
The specific services, deliverables, timelines, and commercial terms for any given project are defined in a separate Service Agreement or Project Proposal issued to the client. These Terms apply universally to all engagements. In the event of a conflict between these Terms and a specific Service Agreement, the Service Agreement takes precedence.
Client Obligations
By engaging SkyraSoft, the client agrees to:
- Provide accurate, complete, and timely information required for the delivery of agreed services
- Supply any required materials (written content, images, brand assets, access credentials) within agreed timelines
- Review and provide feedback on deliverables within the timeframes specified in the project agreement
- Ensure that any materials, content, or information provided to SkyraSoft do not infringe any third-party intellectual property rights
- Provide one clear point of contact from the client side for project communication
Delays caused by the cliant's failure to fulfil these obligations may affect project timelines without constituting a breach of contract by SkyraSoft.
Intellectual Property
Client-Owned Upon Full Payment
Upon receipt of full payment for a completed project, SkyraSoft transfers ownership of all custom deliverables created specifically for that client to the client. This includes custom design files, custom-developed code, and written content produced exclusively for the client.
Work in Progress
All deliverables remain the intellectual property of SkyraSoft until payment has been received in full. SkyraSoft reserves the right to withhold or remove deliverables in the event of non-payment.
Third-Party Assets
Deliverables may incorporate third-party assets (stock photography, licensed fonts, open-source code libraries) that are subject to their own licensing terms. SkyraSoft will ensure that appropriate licenses are in place for the agreed scope of use.
Portfolio Rights
Unless otherwise agreed in writing, SkyraSoft retains the right to display completed work in its portfolio, case studies, and marketing materials, subject to any reasonable confidentiality requirements the client specifies.
Payment Terms
- All new project engagements require a deposit payment before work commences.
- For larger projects, payments are structured around defined milestones as specified in the project agreement.
- Final balance payment is due upon project completion and prior to launch.
- All invoices are payable within 7 days of issue unless otherwise agreed.
- Unless otherwise agreed, all invoices are issued in United States Dollars (USD).
Revisions & Scope
Each project includes a defined number of revision rounds as specified in the proposal. Revisions are defined as adjustments to work within the agreed scope.
Changes to the agreed project scope (‘scope creep’) will be managed through a change request process. SkyraSoft will provide a written quote for any scope additions, and work on additions will not begin until approved by the client in writing.
Timelines & Delivery
SkyraSoft will use reasonable efforts to meet the timelines specified in the project agreement. However, timelines are estimates unless explicitly stated as fixed deadlines, and may be affected by factors outside SkyraSoft’s control.
Confidentiality
Both parties agree to keep confidential all information shared during the course of an engagement that is designated as confidential. SkyraSoft will not disclose client business information or commercially sensitive information to third parties without the client’s written consent, unless required by law.
Warranties & Representations
SkyraSoft warrants that work will be performed with reasonable skill and care and that deliverables created will not infringe third-party intellectual property rights (subject to client-supplied materials).
We do not warrant specific commercial outcomes or search engine rankings, as these are subject to factors outside our control.
Limitation of Liability
To the fullest extent permitted by applicable law, SkyraSoft’s total liability shall not exceed the total fees paid by the client for that specific project. SkyraSoft shall not be liable for any indirect, consequential, incidental, or special damages arising from the use of our deliverables.
Termination
Either party may terminate a project engagement by providing written notice. In the event of client termination, payment for all work completed up to the termination date is due in full.
Governing Law & Jurisdiction
These Terms and Conditions are governed by the laws of the Islamic Republic of Pakistan. Any disputes will be subject to the jurisdiction of the courts of Peshawar, Khyber Pakhtunkhwa, Pakistan.
Changes to These Terms
SkyraSoft reserves the right to update these Terms and Conditions at any time. Continued use of this website or our services following an update constitutes acceptance of the revised Terms.
